EBay vs. Craiglist: deberes de lealtad en sociedad cerrada

Se trata de un muy interesante caso de conflicto en una sociedad cerrada donde la mayoría adopta un conjunto de medidas defensivas cuando el tercer socio – y minoritario – empieza a competir con la sociedad (gracias a un comentarista anónimo por la indicación). Como es sabido, Craiglist es una suerte de lista de anuncios clasificados muy popular en los EE.UU. Y E-Bay es la empresa de subastas on line.
El Magistrado resume los hechos como sigue
On June 29, 2007, eBay launched the online classifieds site www.Kijiji.com in the United States. eBay designed Kijiji to compete with www.craigslist.org , the most widely used online classifieds site in the United States, which is owned and operated by craigslist, Inc. (“craigslist” or “the Company”). At the time of Kijiji’s launch, eBay owned 28.4% of craigslist and was one of only three craigslist stockholders. The other two stockholders were Craig Newmark (“Craig”) and James Buckmaster (“Jim”),1 who together own a majority of craigslist’s shares and dominate the craigslist board. eBay purchased its stake in craigslist in August 2004 pursuant to the terms of a stockholders’ agreement between Jim, Craig, craigslist, and eBay that expressly permits eBay to compete with craigslist in the online classifieds arena. Under the stockholders’ agreement, when eBay chose to compete with craigslist by launching Kijiji, eBay lost certain contractual consent rights that gave eBay the right to approve or disapprove of a variety of corporate actions at craigslist. Another consequence of eBay’s choice to compete with craigslist, however, was that the craigslist shares eBay owns were freed of the right of first refusal Jim and Craig had held over the shares, and the shares became freely transferable…(y)  E-Bay losses its preemptive rights over the issuance of new shares, and (3) its rights of first refusal over Jim and Craig’s shares
Como reacción, los socios mayoritarios pidieron a E-Bay que vendiera sus acciones a la sociedad o a un tercero aprobado por los dos socios y E-Bay dijo que no. De modo que adoptaron tres medidas. Una, convertir el Consejo de Administración en un staggered board (que se renueva por porciones y no de una sola vez eliminando, digamos, el derecho de representación proporcional). Previamente “craigslist’s new charter provided for a three-person board of directors to be elected under a cumulative voting regime. The mechanics of cumulative voting ensured that eBay could use its 28.4% stake in craigslist to unilaterally elect one of the three members to the craigslist board”); Otra, aumentar el capital de la compañía sin permitir participar a E-Bay en el aumento y una tercera, más complicada. El objetivo era
seeking to obtain a right of first refusal in craigslist’s favor over the craigslist shares eBay owns by offering to issue one new share of craigslist stock in exchange for every five shares over which any craigslist stockholder granted a right of first refusal in craigslist’s favor.
En términos más simples, el accionista que otorgara un derecho de adquisición preferente a la propia sociedad Craiglist recibiría una acción nueva de Craiglist por cada cinco acciones sobre las que otorgara dicho derecho de adquisición preferente. Si E-Bay no ofrecía sus acciones, se vería fuertemente diluido en su participación en Craiglist. Como los dos accionistas mayoritarios aceptaron la oferta, recibieron las nuevas acciones mientras que E-Bay que la rechazó vio su participación diluida del 28 al 24 %.
La Sentencia legitima la implantación del staggered board pero anula las restantes medidas como contrarias a los deberes de lealtad de los socios mayoritarios respecto de la sociedad y de los minoritarios
Craiglist no es una empresa que maximice sus ingresos. No cobra por los anuncios que se cuelgan en su página web y solo lo hace por algunos. E-Bay es lo que es: una de las mayores empresas cotizadas. E-Bay compró su participación a un tercer socio de los socios mayoritarios y éstos, a cambio de garantizar a E-Bay cierta protección de sus derechos como socio minoritario, recibieron una cantidad igual – entre los dos – a la que recibió el socio de craiglist que vendió. El pacto de accionistas se ha descrito más arriba. E-Bay empezó a competir con craiglist.
Evidence introduced at trial suggests that the development of P168—as well as Kijiji, the site it spawned—was aided by nonpublic craigslist information that eBay had access to by virtue of eBay’s minority investment and board seat.Evidence also suggests that, after launching Kijiji, eBay used craigslist’s nonpublic information to expand Kijiji’s reach and that eBay passed craigslist’s nonpublic information around internally in a liberal fashion.

Hola, buena noche señor Jesús Alfaro.quisiera saber que posibilidad hay de que ud me indique o envié algunas sentencias falladas en España sobre los casos ebay realmente no las encuentro. muchas gracias
